LVSL provides a live selling and wholesale distribution platform, offering inventory and seller services to brands, buyers, and channel partners. You may register as a buyer, seller, or service user. You use the Service at your own risk and are responsible for your own decisions.

 

2. Updates to These Terms

We may update these Terms periodically. Material changes will be announced via the Site or email. Continued use of the Service after such updates constitutes your acceptance of the revised Terms.

 

3. Privacy Policy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms.

 

4. Eligibility and Representations

By using the Service, you confirm that:

6. Transactions

6.1 Sellers

Sellers must:

• Ensure all products comply with applicable laws

• Ship goods promptly

• Accurately represent products

• Pack goods per LVSL or buyer guidelines

• Accept penalties for late shipments or shortages

6.2 Buyers

Buyers must:

• Read listings before purchasing

• Pay deposits and balances per agreed terms

• Arrange pickup within stated timeframes

• Accept product as-is unless otherwise agreed

6.3 Shipping & Returns

Unless otherwise specified, buyers are responsible for arranging shipping and insurance. All sales are final.

6.4 Pricing & Accuracy

Prices are provided by sellers. LVSL is not responsible for inaccuracies in listings.

6.5 Platform Exclusivity

Transactions initiated via the LVSL platform must remain on-platform. Circumvention is prohibited.

 

7. Payments

Payments are facilitated by third-party providers (e.g., Stripe). Buyers and sellers agree to payment terms specified in POs and governed by LVSL policies. Late payments may incur interest and collection fees.

 

8. Prohibited Activities

You agree not to:

• Use the Service for illegal purposes

• Circumvent security features

• Post misleading or harmful content

• Impersonate others

• Engage in fraudulent activity

 

9. User Content

Users may submit content, including listings and feedback.

• You retain ownership but grant LVSL a license to use such content for business purposes

• LVSL may remove content at its discretion

 

10. Intellectual Property

LVSL owns all rights to the Service, branding, and content (excluding user content). You may not use LVSL trademarks or copy any part of the Site without written permission.

 

11. Disputes Between Users

LVSL is not liable for disputes between users (e.g., buyer-seller issues). Users are encouraged to resolve disputes amicably.

 

12. DMCA and IP Infringement

If you believe your intellectual property rights have been infringed, please contact us at legal@lvsl.ai with all necessary documentation per DMCA guidelines.

 

13. Third-Party Services

LVSL may link to third-party platforms. We are not responsible for third-party content or services.

 

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before initiating legal action, you agree to attempt to resolve disputes informally by contacting legal@lvsl.ai.

14.2 Arbitration

You and LVSL agree to resolve disputes through binding arbitration. You waive your right to trial by jury or class action. You may opt out within 30 days of first use.

14.3 Exceptions

You may pursue claims in small claims court or for intellectual property disputes.

 

15. Disclaimers

The Service is provided "as is." LVSL disclaims all warranties, including merchantability and fitness for a particular purpose.

 

16. Limitation of Liability

LVSL’s liability is limited to $50. We are not liable for indirect, incidental, or consequential damages.

 

17. Indemnification

You agree to indemnify LVSL against any claims, liabilities, or losses arising from your use of the Service, products listed/sold, or violation of these Terms.

 

18. Miscellaneous

• Independent Contractors: No partnership or employment is created.

• Severability: If any provision is invalid, the rest remains enforceable.

• Assignment: LVSL may assign rights without notice.

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement.
